We’re looking for an experienced, solution-oriented, analytic thinker Senior Legal Counsel who will play a pivotal role in advising the firm on legal matters, ensuring compliance with regulations, and managing the legal aspects of investment transactions. This hands-on role involves working closely with multiple stakeholders on corporate governance, stakeholder & customer contracts, and other activities.

The role reports directly to our General Manager and work closely with our CFO.

Key Responsibilities:

  • Review, draft, negotiate, and interpret a wide variety of commercial agreements including software projects agreements, NDAs, vendor contracts, data processing addendums, business associate addendums, platform integration, and partnership agreements, and ensure that all commercial agreements adequately protect the company’s interests, improve processes, and increase scalability.
  • Manage agreements and business activities to comply with company policies and risk tolerance.
  • Maintain a deep understanding of new and existing regulations that may impact organization’s products & processes and follow up changes.
  • Working closely with relevant business teams to ensure compliance to changes in legislation as well as implementation of new business models within the Company.
  • Management of the company’s electronic and physical contract database and maintaining an efficient management system.
  • Ensure that the sales team complies with all internal policies, local regulatory and reporting requirements.
  • Identify and explain legal risks to business partners including proposing solutions and provide pragmatic, commercial advice to the business.
  • Advise on employment law matters and contracts, including hiring, termination, discrimination and workplace policies.
  • Handle employment-related disputes and litigation when necessary.
  • Monitoring and cooperating with outside legal counsels and law offices, understanding the legal requirements and maintaining the healthy communication and documentation flow.

Skill & Experience / Qualifications:

  • Minimum of 10 years of experience providing legal support to technology businesses at both a well-regarded law firm and corporate legal department
  • Strong experience in drafting, negotiating and managing professional services agreements, software as a service agreements, business agreements, and employee agreements.
  • At least 6 years in the software/SaaS industry with strong understanding of cloud service offerings, including managed service offerings and multi-tenant SaaS architecture.
  • Expertise in intellectual property, open-source issues, data privacy, and information and product security
  • Deep experience and knowledge in reviewing technology license agreements and negotiating difficult transactions.
  • Experience and a proven ability in roles requiring excellent analytical skills, legal drafting, and outstanding research ability.
  • Excellent negotiating skills, keen analytical abilities, a pragmatic approach to problem-solving, as well as a track record of success in handling complex business and legal issues in a fast-paced, agile and evolving technology-driven business environment
  • Fluent in written and spoken English.
  • Arbitration and litigation backgrounds are assets.
  • Excellent inter-personal and communication skills to be able to build effective relationships in a multi-cultural business environment from different proficiencies.
